DTNA Board Member Duties



All members interested in running for 2026 DTNA board seats will need to read and agree to these board member duties:


As a DTNA board member:


I understand that as a member of the Board of Directors of DTNA, a 501c3 not-for-profit, I have a legal and ethical responsibility to ensure that the organization does the best work possible in pursuit of its mission: to protect and improve the quality of life for all who come to the Duboce Triangle to live, work, or play, by fostering an inclusive and welcoming environment focused on respect, mutual support, and open dialogue.


I believe in the health and mission of the organization above any specific project or initiative, and I will act responsibly and prudently as its long-term steward.


As part of my responsibilities as a board member, I agree to the following: 


Duty of Conduct — I will put the interests of the organization before my personal interests when acting on behalf of the organization in a decision-making capacity. I have read, understand and agree to the DTNA Board Code of Conduct and Transparency of Conflicts of Interest policies.


☐ Duty of Time - I agree to attend as many monthly board meetings (either in person or virtually) as possible, which will last 1 hour and 30 minutes each.  I agree to attend as many bi-monthly neighborhood meetings (in person) as possible, which last 1 hour and 30 minutes each. I understand that if I need to be excused from a meeting due to conflicts, that I communicate in a timely manner to the entire board.


␧Duty of Care — I accept the responsibility to participate actively in making decisions on behalf of the organization and to exercise my best judgment while doing so. I won’t be negligent. I understand the organization’s bylaws, mission and initiatives.  I will review the agenda and supporting materials prior to board meetings. I will reply to emails, texts and slack notifications in a timely manner.


☐ Community-orientation - Despite being a membership organization, our primary commitment is to our greater neighborhood. Voting or taking any action without striving for community consensus is discouraged. Therefore I will solicit our neighbors’ needs and values. 


Committee Leadership. If serving as a committee lead, I will commit to:

  • Setting and/or regular meetings

  • Communicating with committee members

  • Communicating a summary of committee meetings, including any issues, to the Board at board meetings.


☐ Participation.  I will lean in. We are all busy and we are, all of us, volunteers.  I will ensure that I participate beyond my own personal interests or committee leadership in as many of the following activities as possible:

  • Increasing membership

  • Advertising

  • DTNA sponsored events 

  • Public Hearings

  • Community Meetings

☐ Duty of Obedience — I bear the legal responsibility of ensuring that the organization complies with the applicable federal, state, and local laws that govern 501c3’s, and that the DTNA adheres to its mission. I agree to undergo training with a legal professional who is experienced in not-for-profit governance.


☐ Assess with Board President your interest in and capacity to continue participating on the board at mid-point of the calendar year.
